Terms & Conditions

A legal disclaimer

These Terms and Conditions ("Agreement") govern the services provided by [Spyder Web LLC] ("Designer") to the client ("Client"). By engaging in my services, the client agrees to the following:

Terms & Conditions -

1. Services

The designer will provide web design and related services as outlines in the agreed proposal, quotation, or service agreement. 

-Any additional services requested outside the agreed scope will be subject to additional charges.

2. Payments & Deposits

- A non-refundable deposit equal to 50% of the total service fee is required before the work begins.

-The remaining 50% is due upon project completion, before delivery of final files launching the website.

-Work will no be released until full payment has been received

 

3. Revisions

 

-The client is entitled to the number of revisions stated in the proposal/agreement.

 

-Revisions beyond this limit may incur additional fees.

 

-Revisions must remain within the scope of work.  

4. Client Responsibilities

-The client agrees to provide all necessary content, materials, and feedback in a timely matter.

 

-Delays in providing content or approvals may result in project timeline extensions. 

 

-The client is responsible for ensuring they have rights to all the materials provided (e.g., images, text, logos).

 

5. Intellectual Property

 

-The designer retains ownership of all design concepts and materials until full payment is received.

 

-Once payment is completed, the client receives full rights to the final, approved deliverables.

 

-The Designer reserves the right to display completed work in portfolios, social media, and promotional materials, unless otherwise agreed.

 

6. Refunds and Cancellations

 

-The 50% deposit is non-refundable

 

-If the client cancels after work had begun, no refund will be issued for work completed.

 

-No refunds will be provided once final project has been delivered.

 

7. Timelines & Deadlines

 

-Project timelines will be agreed upon the start.

 

-The designer is not responsible for delays caused by the clients failure to provide necessary information, content, or approvals. 

 

8. Limitation of Liability

 

-The designer will not be liable for ant indirect, incidental, or consequential damages arising from the website or deliverables.

 

-The designer does not guarantee specific business outcomes (e.g., sales, traffic, rankings).

 

9. Termination

 

-Either party may terminate the agreement in writing if the other party breaches its obligations.

 

Upon termination, the client remains responsible for payment of all completed work and the non-refundable deposit.

 

10. Governing Law

 

-This agreement shall be governed by and interpreted in accordance with the laws of [CA./United States of America].
